(“Soundudes,” “We,” “Us,” “Our,”) as by accessing or using the Website or Services in any manner, you agree to be bound by the terms and conditions set out herein. If you do not agree to everything in this Agreement, do not use our Website or Services. Use of Soundudes Website and Services is expressly conditioned upon your assent to all the terms and conditions of this Agreement and our Privacy Policy.
You must be 18 to use this Website and the Services described in and delivered through the Website. If you are using the Website and Services on behalf of any third party or other entity you warrant that you are able to accept these terms on that party’s or entity’s behalf. These terms and conditions should be read with our Privacy Policy.

Ownership

This Website and Services are owned by Soundudes Ltd. (“Soundudes”). A company registered in Israel. All materials contained in and displayed as part of the Website and Services, including but not limited to text, graphic, audio, and data content are owned by Soundudes, it’s licensors, content providers, partners and clients.
Use of the Website and Services
The Website and Services are designed for use to grow your fanbase. In order to become a registered Soundudes user, you must connect on the homepage of the Website via your existing SoundCloud www.soundcloud.com account. You will be required to provide us with information about yourself and you warrant that all the information you provide to us as part of the registration procedure on the Website is true, accurate, fair and complete. SoundCloud service operates their own independent terms of use and privacy policy and you agree to comply at all times with such terms and policies when using their services in connection with the Soundudes Website and Service.
When enabling the connection (“Connect with SoundCloud”) between your Soundudes account and the SoundCloud account, you authorize us to access your SoundCloud account and allow us to specifically and deliberately follow and un-follow on your behalf SoundCloud users that our algorithms finds relevant for your content for the purpose of growing your SoundCloud fanbase.
Registered Soundudes users will have access to such additional features on our Services and Website as we may from time to time determine in our sole discretion.

Copyright and Copyright Violations

All rights title and interest in all materials which are capable of protection by copyright or other intellectual property right are the property of Soundudes or its contributors unless otherwise stated. Any violation of copyright by the Website and Services users will result in the immediate suspension and/or termination of account, services and/or agreements.

Copyright Infringement

If any of the material contained in or displayed by the Website or Services appears to be in violation of copyright owned by you or the party that you represent, please inform Soundudes of such apparent infringement at the earliest possible opportunity using the information in the “contact us” section of the Website.

Intellectual Property

The Website, Service, content, including information, text, graphics, illustrations, pictures, concepts, look, feel and function of the Website and Services are the intellectual property of Soundudes.
External Links and 3rd Party Material
While Soundudes may from time to time provide links to 3rd party websites, it is not responsible for the content of third party websites, nor for the consequences of any use of such websites by Soundudes users. You are encouraged to review the terms of use applicable to those websites. Any access to, or use of, a third-party website is solely at your own risk.
Account Data and Security
When submitting information to Soundudes, please ensure that all information submitted is current and accurate, and that your submitted information is updated if it changes. You are wholly responsible for any unauthorized access to your account that occurs as a result of a lapse of security on your part, and you must notify Soundudes of any such access or suspected access immediately.

Except as otherwise expressly required by applicable law, Soundudes makes no representations, warranties, conditions or other terms (whether express or implied) in relation to the provision of the Website and Services, including without limitation as to completeness, accuracy and currency or any content on the Website or Services, or as to satisfactory quality, or fitness for particular purpose.
To the maximum extent permitted by applicable law, Soundudes excludes all liability (whether arising in contract, tort, breach of statutory duty or otherwise) which Soundudes may otherwise have to you as a result of any error or inaccuracies in any content, the unavailability of the Website or Services for whatsoever reason, and any representation or statement made on the Website.
Soundudes will not be liable for any loss or damage Soundudes causes which Soundudes could not reasonably anticipate when you started using the Website and Services and/or the acts or omissions of any third party such as other users of the Website and Services or any other indirect or consequential loss or damage you may incur in relation to the Website or Services and its content.
Indemnity

This Terms of Use Agreement and all other agreements and aspects of the Website and Services are governed by and construed in accordance with the laws of the State of Israel which are the prevailing laws governing the access and use of the Website and the Services, The Tel Aviv courts have the sole jurisdiction over any claim resulting from, arising out, or in any other way related to the access and use of the Website, the Services and this Agreement.

Suspension and Termination

Soundudes reserves the right to suspend or terminate your account or your access to the Website and Services at any time, for any reason and without warning.
Changes to this Agreement
From time to time it may become necessary to make changes to this Terms of Use Agreement. It is recommended that you check this Agreement from time to time to keep yourself apprised of any changes. Alterations made to this Agreement are deemed to be binding 14 days after they are posted here. If you object to any of the changes made, please desist in your use of the Website and Services and notify Soundudes of your objections.
